Partner Content Terms and Conditions
The Client may choose to purchase Partner Content subscription, offered as an Additional Subscription to Absorb LMS by Absorb (for example Go1, Skillsoft, Traliant, etc.), as set forth in an applicable Order Form. The Client acknowledges that access to any Partner Content is subject to the following:
1. License Purchased
1.1. Content licenses are purchased on an annual up-front basis and are non-cancelable for the duration of the Service Term specified on an applicable Order Form. All fees paid or payable hereunder are non-refundable.
1.2. Each content license allows one User to access any amount of purchased Partner Content in a contract year. Users without a content license will be unable to launch Partner Content.
1.3. Active subscription to Absorb LMS is required in order to access Partner Content.
1.4. Upon the anniversary of the Order Date (conclusion of the contract year), the number of content licenses for the following contract year will automatically reset to the number of content licenses purchased.
1.5. Content licenses to access Partner Content can be assigned to a population of LMS Users. Content licenses are consumed only when a User launches into the Partner Content and thereafter cannot be reassigned from one User to another User during the contract year. Unconsumed content licenses can be reassigned as needed during the same contract year.
1.6. Content licenses are unique to applicable Partner Content and are non-transferable.
2. Term of the Partner Content
2.1. This Additional Subscription commences on the Order Date specified in an applicable Order Form and continues until the end of the Service Term specified therein (the “Initial Term”).
2.2. Except as otherwise specified in an applicable Order Form, upon expiration of the Initial Term, this Additional Subscription will automatically renew for additional period(s) of twelve (12) months (each a “Renewal Term”), unless either Party provides written notice of non-renewal to the other Party at least sixty (60) days prior to the expiration of the then-current Service Term. Notice of non-renewal must be sent via e-mail to content@absorblms.com. Any discount(s) provided to Client is applicable only to the Service Term detailed in an applicable Order Form(s), and will not be applied to any subsequent Renewal Term. Recurring Subscription Fees for each Renewal Term will be billed at Absorb’s then-current list price, unless Absorb has provided written notice of a pricing increase at least sixty (60) days prior to the expiration of the then-current Service Term. In any case, any pricing increase shall be effective upon commencing each Renewal Term and thereafter.
3. Term of additional content licenses purchased*
3.1. Additional content licenses added to an existing Partner Content subscription during the contract year will be coterminous with the Term of the applicable Partner Content purchase to which additional content licenses are added to, and will reset on the same date.
*Please note: this option to add additional content licenses to the existing Partner Content Subscription is not available for annual compliance training courses.
